ProsperOn Terms and Conditions
Introduction:
Welcome to ProsperOn, the comprehensive financial education and budgeting application (“Application”). These Terms and Conditions (“Terms”) constitute a legally binding agreement between you and ProsperOn and set forth the rules and guidelines for your use of the Application. By accessing, downloading, or using the Application, you acknowledge that you have read, understood, and agreed to be bound by these Terms. If you do not agree with any part of these Terms, you must not use the Application.
Eligibility:
You affirm that you are at least 18 years old and possess the legal capacity to enter into binding contracts. Your use of the Application signifies your assertion that you meet these eligibility requirements. If you are using the Application on behalf of an entity, organization, or company, you represent that you have the authority to bind such organization to these Terms and you agree to be bound by these Terms on behalf of such organization. If you are age 13 or over in the U.S. (or elsewhere) but are still under the age of majority in your jurisdiction, then by accessing or using our Services you represent that you have the permission of your parent or guardian to use our Services and agreement to be bound by these Terms and our Privacy Policy.
License to Use:
ProsperOn grants you a personal, revocable, non-exclusive, non-transferable license to access and use the Application exclusively for your personal, non-commercial financial management. This license is subject to full compliance with these Terms and does not include any resale or commercial use of the Application or its contents; any collection and use of any product listings, descriptions, or prices; any derivative use of the Application or its contents; or any use of data mining, robots, or similar data gathering and extraction tools.
User Information:
You are responsible for the security of your account and password. You agree to accept responsibility for all activities that occur under your account or password. You should take all necessary steps to ensure that the password is kept confidential and secure and should inform ProsperOn immediately if you have any reason to believe that your password has become known to anyone else, or if the password is being, or is likely to be, used in an unauthorized manner.
User Conduct:
You agree not to use the Application in any way that is fraudulent, or breaches any applicable local, national, or international law or regulation. Additionally, you shall not access or use the Application in a manner that could damage, disable, overburden, or impair any ProsperOn server, or the networks connected to any ProsperOn server. You may not attempt to gain unauthorized access to the Application, other accounts, computer systems, or networks connected to any ProsperOn server through hacking, password mining, or any other means.
Modifications to Terms or Application:
ProsperOn may modify or update these Terms or the features and functionality of the Application at any time without prior notice to you. Your continued use of the Application after such changes indicates your acceptance of the new Terms. We encourage you to periodically review the Terms for any updates or changes.
Termination:
ProsperOn reserves the right to discontinue or terminate your access to the Application if you are found to be in violation of these Terms. ProsperOn may also discontinue or alter any aspect of the Application, or any service or goods provided through the Application, with or without notice to you, without liability to you or any third party.
Disclaimer of Warranties:
ProsperOn provides the Application on an “as is” and “as available” basis without any representations, warranties, or conditions of any kind. While ProsperOn endeavors to provide a useful and functional Application, it does not guarantee that the Application’s information is accurate, complete, reliable, current, or error-free.
Limitation of Liability:
Under no circumstances shall ProsperOn, its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from your access to or use of or inability to access or use the Application.
Indemnification:
You agree to defend, indemnify, and hold harmless ProsperOn, its affiliates, and their respective directors, officers, employees, and agents from and against all claims and expenses, including attorneys’ fees, arising out of the use of the Application by you or your account.
Governing Law:
The Terms, and any separate agreements whereby ProsperOn provides you services, shall be governed by and construed in accordance with the internal laws of the Commonwealth of Delaware without regard to its conflict of laws provisions.
Entire Agreement:
These Terms, together with any amendments and any additional agreements you may enter into with ProsperOn in connection with the Application, shall constitute the entire agreement between you and ProsperOn concerning the Application.
Data Protection and Privacy:
Your privacy is paramount to ProsperOn. We are dedicated to safeguarding your personal information with the utmost care and in compliance with data protection and privacy laws. You can find detailed information on how we collect, use, and protect your data in our Privacy Policy, which forms an integral part of these Terms.
User Content:
Any content you submit or contribute to the Application is subject to these Terms. By providing content, you grant ProsperOn a license to use, reproduce, modify, perform, display, distribute, and otherwise disclose to third parties any such material for any purpose.
Intellectual Property:
All intellectual property rights in the Application and in the material published on it are owned by or licensed to ProsperOn. These works are protected by copyright laws and treaties around the world. All such rights are reserved.
Liability Limitations:
While ProsperOn aims to ensure that the Application is available 24 hours a day, it shall not be liable if for any reason the Application is unavailable at any time or for any period. Access to the Application may be suspended temporarily and without notice in the case of system failure, maintenance, or repair or for reasons beyond ProsperOn’s control.
Marketing and Advertising:
Provider will not use any data to advertise or market to students or their parents. Advertising or marketing may be directed to a school or district only if student information is properly “de-identified”.
